1. Acceptance of These Terms
These Terms of Service ("Terms") govern your access to and use of RoommateOS, including the RoommateOS mobile application, website, related services, and any associated features we provide.
By creating an account, joining a room, creating a room, or using RoommateOS, you agree to these Terms. If you do not agree, do not use RoommateOS.
2. What RoommateOS Does
RoommateOS is a roommate management app designed to help users coordinate shared living tasks. Features may include:
- creating or joining roommate rooms using room codes or invites;
- managing shared expenses;
- calculating who owes whom;
- tracking manual settlement status;
- storing UPI details or QR codes for manual roommate-to-roommate payments;
- assigning chores and recurring household tasks;
- tracking XP, badges, streaks, leaderboards, and other gamified activity;
- managing shared shopping or inventory lists;
- viewing roommate profiles and room activity;
- redeeming access codes or tester/supporter codes;
- accessing optional Pro or subscription-related screens if enabled in the future.
RoommateOS is a coordination and tracking tool. It does not guarantee that roommates will pay each other, complete chores, or resolve disputes.
3. Eligibility
You should only use RoommateOS if you are legally allowed to enter into these Terms and use online services in your jurisdiction.
If you are under the age of majority in your jurisdiction, you should use RoommateOS only with permission and supervision from a parent or legal guardian.
RoommateOS is not intended for children below the age at which online services can lawfully collect and process personal data in their jurisdiction.
4. Your Account
To use RoommateOS, you may need to create an account using email login, Google login, or another authentication method we support.
You agree to:
- provide accurate account information;
- keep your login credentials secure;
- not share your account with others;
- immediately notify us if you suspect unauthorized access;
- be responsible for activity under your account.
We may refuse, suspend, or terminate accounts that violate these Terms, misuse the app, or create risk for RoommateOS or other users.
5. Rooms, Invites, and Roommate Access
RoommateOS allows users to create or join shared "rooms" using invite codes, links, or similar mechanisms.
By joining a room, you understand that certain information you add may be visible to other room members, such as:
- your display name, avatar, profile details, and roommate stats;
- expenses, splits, and settlement status;
- chores, assignments, completions, XP, badges, and activity;
- shopping items and purchase status;
- UPI ID or UPI QR if you choose to make it visible to roommates.
You are responsible for sharing room invite codes only with people you trust.
Room owners or admins may have additional controls, such as inviting/removing members, managing room settings, or redeeming room-level access codes.
6. Expenses, Splits, and Settlement Tracking
RoommateOS may help users record expenses, calculate splits, and track settlement status.
You understand and agree that:
- RoommateOS does not verify whether an expense is accurate;
- RoommateOS does not verify whether a roommate actually owes money;
- RoommateOS does not verify whether a payment was actually completed;
- all expense, split, and settlement data is user-entered or user-confirmed;
- roommates are responsible for checking and resolving any disagreements.
RoommateOS is not a financial institution, bank, wallet, payment processor, escrow provider, accounting service, or legal dispute resolution service.
7. UPI and External Payments
RoommateOS may allow users to store or display UPI IDs, UPI display names, UPI QR images, and manual settlement details.
RoommateOS does not process UPI payments. Any payment made through UPI or any other payment app happens outside RoommateOS.
RoommateOS does not collect, ask for, store, or process:
- UPI PINs;
- bank passwords;
- OTPs;
- debit or credit card numbers;
- net banking credentials;
- bank account login details.
If the app provides any UPI-related convenience features, such features are only for user convenience. Payments remain subject to the terms, limits, security checks, and rules of the user's bank, UPI app, NPCI, and any other relevant payment provider.
You are responsible for verifying the receiver's UPI ID, amount, and payment details before paying.
RoommateOS is not responsible for:
- failed UPI payments;
- delayed payments;
- incorrect UPI IDs;
- payments sent to the wrong person;
- bank or UPI app limits;
- chargebacks, reversals, disputes, fraud, or unauthorized transfers;
- any loss arising from external payment apps or payment systems.
8. Chores, Gamification, XP, Badges, and Stats
RoommateOS may include XP, badges, streaks, levels, leaderboard rankings, room harmony scores, reliability scores, or similar gamified elements.
These features are for engagement and organization only. They are not formal ratings, employment records, credit scores, financial scores, legal records, or verified performance metrics.
You should not use RoommateOS stats to harass, shame, threaten, discriminate against, or abuse any roommate.
9. Shopping and Inventory
RoommateOS may allow users to create shopping lists, mark items as bought, and convert bought items into expenses.
Users are responsible for ensuring that shopping entries, purchase amounts, and converted expenses are accurate.
RoommateOS does not verify purchases or receipts unless explicitly stated, and even then such verification may be limited.
10. User Content
"User Content" means any content you submit, upload, create, or share through RoommateOS, including text, images, receipts, QR codes, profile details, room names, expense notes, chores, comments, and activity entries.
You retain ownership of your User Content, but you grant RoommateOS a limited, non-exclusive, worldwide license to host, store, process, display, and transmit your User Content as necessary to operate, secure, improve, and support the app.
You agree not to upload or share content that:
- is illegal, fraudulent, misleading, or harmful;
- violates someone else's privacy or intellectual property rights;
- includes sensitive personal data of others without permission;
- contains harassment, hate, threats, or abuse;
- contains malware or attempts to interfere with the app;
- includes payment credentials, UPI PINs, OTPs, passwords, or secret keys.
We may remove content or restrict access if we believe it violates these Terms or creates risk.
11. Subscriptions, Pro Features, and Access Codes
RoommateOS may include free features, Pro features, subscriptions, lifetime access, tester codes, supporter codes, gift codes, or other access-code based benefits.
At the current MVP/testing stage, payment-based subscriptions may not be enabled. Access codes may be used for testers, early supporters, promotions, or internal testing.
If paid subscriptions or purchases are added later:
- pricing, billing terms, refund rules, and renewal details will be shown before purchase;
- payments may be handled by third-party platforms such as app stores or payment providers;
- cancellation and refund rules may depend on the relevant platform or provider;
- additional terms may apply.
Access codes may be limited by duration, number of redemptions, expiry date, room eligibility, or other conditions. We may refuse, cancel, or revoke access codes that are misused, resold, leaked, obtained improperly, or used in violation of these Terms.
12. Notifications
RoommateOS may send notifications or reminders related to chores, expenses, settlements, shopping items, invites, Pro access, or other app activity.
You can control certain notification preferences through app settings or device settings.
Notifications are provided as convenience reminders only. RoommateOS is not responsible if a notification is delayed, blocked, not delivered, or ignored.
13. Acceptable Use
You agree not to:
- use RoommateOS for illegal, fraudulent, abusive, or harmful purposes;
- impersonate another person;
- create fake expenses, fake settlements, or misleading records to harm others;
- harass, threaten, shame, or abuse roommates;
- upload malicious files or attempt to compromise the service;
- reverse engineer, scrape, overload, or interfere with RoommateOS;
- attempt to access data belonging to other users or rooms without permission;
- sell, rent, or misuse invite codes, access codes, or accounts;
- use RoommateOS to process or facilitate illegal payments.
14. Third-Party Services
RoommateOS may use or interact with third-party services, such as:
- authentication providers, including Google;
- backend, database, and storage providers, such as Supabase;
- app stores and device platforms;
- analytics, crash reporting, or diagnostic tools if enabled;
- UPI apps, banks, and payment providers outside RoommateOS;
- email or notification providers.
Your use of third-party services may be governed by their own terms and privacy policies. RoommateOS is not responsible for third-party services that it does not control.
15. Data and Privacy
Your use of RoommateOS is also governed by our Privacy Policy. Please read it carefully to understand what data we collect, how we use it, and what choices you have.
16. App Availability and Changes
RoommateOS is under active development. Features may change, break, be removed, or be replaced, especially during MVP, beta, or testing stages.
We may update, suspend, limit, or discontinue any part of RoommateOS at any time.
We do not guarantee that the app will be uninterrupted, error-free, secure, or available at all times.
17. Beta / MVP Disclaimer
If you are using an early, beta, preview, tester, or MVP version of RoommateOS, you understand that:
- some features may be incomplete;
- bugs may occur;
- data may need to be reset during testing;
- designs and flows may change;
- subscription and payment features may be disabled or simulated;
- support may be limited.
Use beta features at your own risk.
18. No Professional Advice
RoommateOS does not provide legal, financial, tax, accounting, real estate, relationship, or professional advice.
Any calculations, summaries, reports, or suggestions inside the app are for convenience only. You should independently verify important information.
19. Disclaimer of Warranties
RoommateOS is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and security.
20. Limitation of Liability
To the maximum extent permitted by law, Elseborne, Niraj Makhare, and anyone involved in operating RoommateOS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, payments, roommate relationships, or other intangible losses.
RoommateOS will not be responsible for disputes between roommates, incorrect payments, failed UPI transactions, inaccurate entries, missed chores, or external payment provider issues.
Where liability cannot be excluded, our liability will be limited to the maximum extent allowed by applicable law.
21. Indemnity
You agree to defend, indemnify, and hold harmless Elseborne and Niraj Makhare from claims, damages, losses, liabilities, costs, and expenses arising from:
- your use of RoommateOS;
- your User Content;
- your violation of these Terms;
- your violation of any law or third-party rights;
- disputes between you and your roommates;
- external payments or settlement disputes.
22. Termination
You may stop using RoommateOS at any time.
We may suspend or terminate your access if we believe you violated these Terms, created risk, abused the service, or used the app unlawfully.
Termination may affect access to your account, rooms, data, access codes, Pro features, and stored content.
Some provisions of these Terms will survive termination, including disclaimers, limitations of liability, indemnity, and dispute-related provisions.
23. Deleting Your Account
You may request account deletion by contacting us at contact@elseborne.com or using any in-app deletion feature if available.
Some data may be retained where necessary for security, legal compliance, fraud prevention, backup, dispute resolution, or legitimate operational reasons. Room-level records may also remain visible to other room members if they are part of shared room history, unless deletion is required by applicable law.
24. Governing Law
These Terms are governed by the laws of India, without regard to conflict of law principles.
Subject to applicable law, courts located in Pune, Maharashtra, India will have jurisdiction over disputes arising from or related to these Terms or RoommateOS.
25. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify you through the app, website, email, or other reasonable means.
The updated Terms will be effective from the date stated in the updated document. Continued use of RoommateOS after changes means you accept the updated Terms.
